Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Koda (“Koda”, “we”, “us”, or “our”), including our website, web application, editor integrations, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Koda provides realtime collaborative coding workspaces, including shared sessions, file sync, chat, classroom features where enabled, and optional integrations with supported editors. We may add, change, or remove features at any time.

2. Eligibility and accounts

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. You are responsible for your account credentials and for all activity under your account. Provide accurate registration information and notify us promptly if you suspect unauthorized access.

3. Acceptable use

You agree not to misuse the Service. For example, you must not:

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

4. Your content

You retain ownership of code, files, messages, and other material you submit through the Service (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service.

You represent that you have the rights needed to submit Your Content and that it does not infringe others’ rights or violate applicable law.

5. Plans, billing, and subscriptions

Koda offers free and paid plans. Current plan names, features, and prices are shown on our pricing page and may change from time to time. Paid plans are billed on a recurring subscription basis through our payment processor, Stripe.

Subscriptions renew automatically until cancelled. You may cancel through in-app billing settings (Stripe Customer Portal) or by contacting us. Cancellation stops future charges; access to paid features generally continues until the end of the current billing period unless we state otherwise.

Except where required by law, fees are non-refundable. We may change prices with reasonable notice; continued use after a price change constitutes acceptance of the new price for subsequent billing periods.

6. Classroom and education use

Teachers, schools, and students using classroom features are responsible for complying with applicable education, privacy, and consent requirements in their jurisdiction. If you are a teacher or institution, you represent that you have authority to invite students and share coursework through the Service.

7. Third-party services

The Service may integrate with third parties (for example sign-in providers, hosting, analytics, or payment processing). Your use of those services may be subject to their separate terms and policies. We are not responsible for third-party services outside our control.

8. Privacy

Our Privacy Policy explains how we collect and use information. By using the Service, you also agree to the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT YOUR CONTENT WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS WHERE APPROPRIATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KODA AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including payment obligations accrued, disclaimers, limitations of liability, and governing law) will survive.

12. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Material changes may also be communicated through the Service or by email where appropriate. Continued use after changes become effective means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
